1. Acceptance of Terms
By accessing or using IQON ("the Service"), you agree to be bound by these Terms
of Service. If you do not agree to these terms, please do not use our Service.
2. Description of Service
IQON is an AI-powered platform that enables users to generate visual assets for
creative and commercial purposes. The Service includes web-based tools for
creating, managing, and downloading generated content.
3. Privacy and Data
Your use of the Service is also governed by our
Privacy Policy, which is incorporated into these Terms by
reference. By using the Service, you consent to the collection and use of your
information as described therein. Your data is stored on servers located in the
United States (us-east-2). If you are accessing the Service from outside the
United States, you acknowledge and consent to the transfer and processing of
your data in that jurisdiction.
4. Account Registration
To use the Service, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Be at least 18 years of age or the age of majority in your jurisdiction
- Accept responsibility for all activities under your account
5. Subscription and Payment
Certain features of the Service require a paid subscription. By subscribing:
- You authorize us to charge your payment method on a recurring basis
- Subscription fees are non-refundable except as required by applicable law
- You may cancel your subscription at any time; your access and any remaining
credits continue until the end of the current billing period, after which
unused credits expire and are forfeited - Free tier features, where available, are provided at our discretion and may be
modified, limited, or withdrawn at any time without notice - Generation credits are non-transferable, have no cash value, and expire at the
end of each billing cycle unless otherwise stated - We reserve the right to modify pricing by providing at least 30 days' advance
notice via email or by posting prominently on our website
6. Ownership of Generated Content
You retain ownership of the assets you generate using IQON, subject to the
following: you must have the rights to any input content (such as brand
guidelines or reference images) you provide. You may use generated assets for
personal and commercial purposes. We do not claim ownership of your generated
content.
7. AI-Generated Content
The Service uses artificial intelligence to generate brand assets and visual
content. By using these features, you acknowledge and agree that:
- AI-generated assets are delivered "as is" without warranties of any kind,
express or implied - Generated outputs are not guaranteed to be unique; other users may receive
visually similar results from the same underlying models - You are solely responsible for reviewing generated assets and determining
their suitability before any use - We make no representation that generated content is fit for any particular
commercial, legal, or creative purpose - We bear no responsibility for any consequences arising from your use or
distribution of AI-generated assets
8. User-Submitted URLs and Scraped Content
The Service allows you to submit website URLs to extract brand information. By
submitting a URL, you represent and warrant that you have the right to authorize
scraping and use of content from that website, and that doing so does not
violate the terms of service of the target site or any applicable law. You are
solely responsible for ensuring your use of submitted URLs is lawful and
permitted. IQON is not responsible for any claims, damages, or liability arising
from content extracted from URLs you provide.
9. Acceptable Use
You agree not to use the Service to:
- Generate illegal, harmful, or offensive content
- Infringe on intellectual property rights of others
- Attempt to circumvent usage limits or security measures
- Interfere with or disrupt the Service or servers
- Use automated systems to access the Service without permission
10. Indemnification
You agree to defend, indemnify, and hold harmless IQON and its officers,
directors, employees, and agents from and against any claims, liabilities,
damages, losses, and expenses (including reasonable legal fees) arising out of or
in any way connected with: (a) your access to or use of the Service; (b) your
violation of these Terms; (c) any content, URLs, or materials you submit to the
Service; or (d) your infringement of any intellectual property or other rights
of any third party.
11. Intellectual Property
The Service, including its design, features, and underlying technology, is owned
by IQON and protected by intellectual property laws. You are granted a limited,
non-exclusive, non-transferable license to use the Service in accordance with
these Terms.
12. Third-Party Services
The Service relies on third-party providers to deliver its functionality,
including Google (AI model infrastructure), Firecrawl (web scraping), Supabase
(database and storage), Stripe (payment processing), and Vercel (hosting). You
acknowledge that:
- IQON is not responsible for any outages, errors, data loss, or service
degradation caused by these upstream providers - Your use of the Service may be affected by the availability and performance of
third-party services outside our control - Each third-party provider operates under its own terms of service and privacy
policy, which may independently govern how your data is handled
13. Limitation of Liability
To the maximum extent permitted by law, IQON shall not be liable for any
indirect, incidental, special, consequential, or punitive damages, or any loss
of profits or revenues, whether incurred directly or indirectly, or any loss of
data, use, goodwill, or other intangible losses resulting from your use of the
Service.
In no event shall IQON's total aggregate liability to you for all claims arising
out of or relating to these Terms or the Service exceed the greater of (a) the
total fees you paid to IQON in the twelve months immediately preceding the event
giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
14. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any
kind, either express or implied. We do not guarantee that the Service will be
uninterrupted, secure, or error-free.
15. Termination and Data Retention
We may suspend or terminate your access to the Service at any time for
violations of these Terms or for any other reason at our discretion. Upon
termination, your right to use the Service will immediately cease.
Following account termination or deletion, we will delete your personal data and
generated assets within 90 days, except where we are required to retain it by
law or for legitimate business purposes such as fraud prevention, dispute
resolution, or enforcement of these Terms. We may retain anonymized or
aggregated data derived from your usage that does not identify you indefinitely.
16. Force Majeure
IQON shall not be liable for any failure or delay in performance caused by
circumstances beyond our reasonable control, including but not limited to acts of
God, natural disasters, war, terrorism, labour disputes, internet or
infrastructure outages, third-party service failures, or government actions. In
such events, our obligations under these Terms are suspended for the duration of
the event.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the
Province of Ontario and the federal laws of Canada applicable therein, without
regard to conflict of law principles. You agree that any dispute, claim, or
controversy arising out of or relating to these Terms or the Service shall be
resolved as follows:
- Informal resolution first: Before initiating any formal proceeding, you
agree to contact us at support@tryiqon.ai and attempt to resolve the dispute
informally for at least 30 days - Binding arbitration: If informal resolution fails, disputes shall be
resolved by binding arbitration administered in Ontario, Canada, on an
individual basis. You waive any right to participate in a class action lawsuit
or class-wide arbitration - Exception: Either party may seek injunctive or other equitable relief in a
court of competent jurisdiction to prevent irreparable harm pending
arbitration
18. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of
significant changes by posting the updated Terms on our website. Your continued
use of the Service after changes become effective constitutes acceptance of the
revised Terms.
